Terms of Service
1. Introduction
These Terms of Service ("Terms") govern access to and use of the ForceX websites, applications, APIs, analytics, explorer surfaces, data products, and related services (collectively, the "Services") made available by OMIED LLC d/b/a ForceX.com ("ForceX," "we," "us," or "our").
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not access or use the Services.

3. Eligibility
You may use the Services only if:
- you are at least 18 years old or the age of majority in your jurisdiction, whichever is higher;
- you are legally able to enter into a binding agreement; and
- your access to the Services is not prohibited by applicable law.
The Services are not directed to children, and ForceX does not intend to provide Services to individuals under 18.
4. Scope of Services
ForceX provides blockchain data, explorer functionality, analytics, APIs, account-based features, subscription-based products, and related enterprise or beta access offerings.
The Services may include:
- public informational surfaces;
- account-gated surfaces;
- invite-only or beta access areas;
- APIs and API keys;
- paid or enterprise service plans; and
- experimental, limited, or pre-release features.
Enterprise agreements, order forms, or separate written commercial agreements may supplement or supersede these Terms for the covered subject matter.
5. Informational Nature of the Services
ForceX is an informational data infrastructure and analytics service. The Services do not constitute:
- investment advice;
- financial advice;
- tax advice;
- legal advice;
- brokerage services;
- custody services; or
- a recommendation to buy, sell, hold, or transact in any asset.
You are solely responsible for your own decisions, actions, and use of any information made available through the Services.
6. Accounts and Access
To use certain Services, you may need to create an account, authenticate through supported identity providers, or obtain an invitation code or enterprise authorization.
You agree to:
- provide accurate and current information;
- maintain the confidentiality of your credentials;
- notify us promptly of suspected unauthorized access or compromise; and
- accept responsibility for activity under your account, except to the extent caused by our breach of applicable law or express written obligations.
ForceX may require email verification, identity-provider authentication, invitation-code redemption, or other access conditions before granting or maintaining access to some or all Services.
7. Beta and Pre-Release Features
Some Services may be provided in beta, preview, limited-access, or pre-release form.
Beta or pre-release Services:
- may contain bugs, errors, or incomplete functionality;
- may change materially at any time;
- may be suspended, restricted, or discontinued without notice; and
- may have limited support, uptime, retention, or compatibility.
ForceX may revoke, limit, or modify beta access, invitation-based access, or tester access at its discretion.
8. Subscriptions, Paid Services, and Billing
Certain Services may be made available through paid subscriptions, usage-based plans, enterprise contracts, or other commercial terms.
If ForceX offers paid plans:
- pricing, billing frequency, and plan terms will be disclosed at the point of purchase or in a separate commercial agreement;
- subscriptions may automatically renew unless cancelled in accordance with the applicable cancellation terms;
- you authorize ForceX and its payment processor to charge applicable fees, taxes, and other disclosed charges; and
- we may suspend or terminate paid access for failed payment, chargeback abuse, fraud risk, or breach of these Terms.
Unless otherwise expressly stated in writing, fees are non-refundable, except where required by applicable law.
At the time of this draft, ForceX may offer beta or pre-launch access before paid billing is generally available.
9. API Access and Keys
If we issue API keys or API credentials to you:
- you must keep them confidential and secure;
- you may use them only for authorized purposes;
- you may not share, resell, sublicense, or transfer them except as expressly permitted by ForceX; and
- you are responsible for all activity performed using your issued credentials.
ForceX may impose rate limits, usage thresholds, or technical safeguards on API use. Circumventing or attempting to circumvent those controls is prohibited.
10. Acceptable Use
You may not, and may not permit others to:
- access or use the Services for unlawful purposes;
- interfere with, disrupt, or degrade the Services or related infrastructure;
- attempt unauthorized access, privilege escalation, scanning, probing, or denial-of-service activity;
- bypass rate limits, access controls, invitation controls, authentication, or account restrictions;
- scrape, harvest, or bulk extract data from the Services except as expressly authorized;
- reverse engineer, decompile, or disassemble the Services except to the extent non-waivable law expressly permits it;
- share credentials outside your authorized organization or access tier;
- use the Services to build a competing product using unauthorized extraction or misuse of ForceX materials;
- upload, transmit, or submit harmful, infringing, fraudulent, or abusive material; or
- misrepresent identity, affiliation, entitlement, or authorization.
11. Third-Party Services
The Services may rely on or interoperate with third-party providers, including hosting, authentication, email, analytics, and payment processors. Your use of certain features may also be subject to third-party terms and privacy policies.
ForceX is not responsible for third-party services, except as required by applicable law.
12. Intellectual Property
As between you and ForceX, ForceX and its licensors own all right, title, and interest in and to the Services, including:
- software;
- design system materials;
- documentation;
- branding, trade names, and logos;
- data presentation layers;
- proprietary analytics interfaces; and
- related intellectual property rights.
These Terms do not grant you any ownership interest in the Services. Subject to these Terms, ForceX grants you a limited, revocable, non-exclusive, non-transferable right to access and use the Services for authorized purposes.
13. User Materials and Feedback
If you submit feedback, suggestions, ideas, or recommendations to ForceX, you grant ForceX a worldwide, perpetual, irrevocable, royalty-free right to use them without restriction or compensation.
If you submit other content or materials through the Services, you retain your rights in that content, but you grant ForceX a limited license to use, host, process, reproduce, and display it as necessary to operate, secure, and improve the Services and fulfill our obligations to you.
14. Data Accuracy, Availability, and No Warranty
ForceX aims to provide reliable and high-quality data services, but the Services are provided on an "as is" and "as available" basis.
To the maximum extent permitted by law, ForceX disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of:
- merchantability;
- fitness for a particular purpose;
- non-infringement;
- uninterrupted availability; and
- complete accuracy, completeness, or timeliness of any data, output, or analytic result.
Blockchain data, third-party data, derived analytics, and network conditions may change, reorganize, lag, fail, or contain anomalies. You are solely responsible for validating whether any use of the Services is fit for your purposes.
15. Suspension and Termination
ForceX may suspend, restrict, or terminate access to the Services or your account at any time, with or without notice, if we reasonably believe:
- you breached these Terms;
- your use creates security, legal, operational, or fraud risk;
- your account is abusive, inactive in a way that affects operations, or no longer eligible;
- payment obligations are overdue;
- continued access could expose ForceX or others to harm; or
- the beta, invitation, or service program has changed or ended.
You may stop using the Services at any time. Certain obligations in these Terms survive termination, including payment obligations, disclaimers, intellectual property provisions, audit/support-related rights, and limitations of liability.
16. Limitation of Liability
To the maximum extent permitted by law, ForceX and its affiliates, officers, directors, employees, contractors, licensors, and service providers will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, business opportunity, data, or use, arising out of or related to the Services or these Terms.
To the maximum extent permitted by law, ForceX's aggregate liability arising out of or related to the Services or these Terms will not exceed:
- the amount you paid to ForceX for the applicable Services during the 12 months preceding the event giving rise to the claim; or
- if you have not paid any fees, USD $100.
Nothing in these Terms limits liability that cannot be limited under applicable law.
17. Indemnification
You agree to defend, indemnify, and hold harmless ForceX and its affiliates, officers, directors, employees, contractors, and licensors from and against claims, liabilities, damages, losses, and expenses arising out of or related to:
- your use of the Services;
- your violation of these Terms;
- your violation of applicable law; or
- your infringement or misuse of rights belonging to another party.
18. Privacy
Your use of the Services is also subject to the ForceX Privacy Policy. If there is a conflict between these Terms and a separately executed data processing or enterprise agreement, the more specific written agreement governs for that subject matter.
19. Changes to the Services or Terms
ForceX may update the Services and these Terms from time to time. We may post updated Terms on the Services and revise the "Last updated" date.
If changes are material, we may provide additional notice where reasonably appropriate. Your continued use of the Services after updated Terms become effective constitutes acceptance of the revised Terms.
20. Governing Law and Venue
These Terms are governed by the laws of the State of Texas, excluding conflict-of-law rules.
Any dispute arising out of or related to these Terms or the Services will be brought exclusively in the state or federal courts located in Texas, and you consent to personal jurisdiction and venue in those courts.
21. General
- These Terms constitute the entire agreement between you and ForceX regarding the Services, except where superseded by a separate written agreement.
- If any provision is found unenforceable, the remaining provisions remain in effect to the fullest extent permitted by law.
- ForceX's failure to enforce a provision is not a waiver.
- You may not assign these Terms without ForceX's prior written consent. ForceX may assign these Terms in connection with a merger, acquisition, restructuring, or sale of assets.
